Terms of Service

These Terms of Service ("Terms") govern your use of the Lumi repricing service and the lumipricer.com website (the "Service"), operated by Aurora PowerUp LLC ("we", "us"). By using the Service, you agree to these Terms.

1. The Service

Lumi provides automated repricing, price monitoring, and related analytics for marketplace sellers on Walmart Marketplace and Amazon. The Service connects to your seller account only after you authorize access through each marketplace's official authorization flow.

2. Your responsibilities

• You must own or be authorized to manage the seller accounts you connect to Lumi.
• You are responsible for the pricing rules, floors, and ceilings you configure. Lumi executes your strategy; final pricing decisions and their business outcomes remain yours.
• You agree to comply with the policies of the marketplaces you sell on.
• You will not use the Service to violate any law or third-party right, or to access data of accounts you do not control.

3. Marketplace relationships

Lumi is an independent product of Aurora PowerUp LLC. It is not endorsed by, sponsored by, or affiliated with Walmart or Amazon. Marketplace names are trademarks of their respective owners. Your use of each marketplace remains subject to that marketplace's own terms.

4. Fees

Subscription fees, plans, and billing terms will be presented at signup. Fees are non-refundable except as required by law or expressly stated otherwise.

5. Data

Our collection and use of data is described in our Privacy Policy. You retain all rights to your business data. You grant us a limited license to process it solely to provide the Service.

6. Availability and changes

We aim for high availability but do not guarantee uninterrupted operation. Marketplace API limits, outages, or policy changes may affect functionality. We may modify or discontinue features with reasonable notice.

7. Disclaimer and limitation of liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Aurora PowerUp LLC is not liable for indirect, incidental, or consequential damages, including lost profits, lost Buy Box placement, or marketplace account actions. Our total liability for any claim is limited to the fees you paid to us in the twelve months preceding the claim.

8. Termination

You may cancel at any time. We may suspend or terminate access for breach of these Terms. Upon termination, your marketplace data is deleted per our Privacy Policy.

9. Governing law

These Terms are governed by the laws of the United States and the state in which Aurora PowerUp LLC is registered, without regard to conflict-of-law rules.
